Terms of Service

By accessing or using the ADVNCE platform at advnce.cc (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including agencies, agents, managers, and any other individuals who access the Service.

ADVNCE provides a cloud-based booking management platform for music industry professionals, including tools for artist roster management, hold calendars, venue and promoter databases, offer management, contract generation and e-signature, tour itinerary planning, media pages, ticket count tracking, and related features.

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

You must be at least 18 years of age to create an account. By registering, you represent that you are 18 or older.

The Service is offered on a subscription basis. By selecting a subscription plan, you agree to pay the applicable fees. All fees are:

• Billed in advance on a monthly or annual basis
• Non-refundable except as expressly stated in these Terms
• Subject to change with 30 days' notice

Failure to pay subscription fees may result in suspension or termination of your account. We reserve the right to change our pricing at any time with reasonable notice to existing subscribers.

We may offer a free tier or free trial period. During any free trial, you may access certain features of the Service at no charge. We reserve the right to modify or terminate free trials or the free tier at any time. At the end of a free trial, your account may be converted to a paid subscription or downgraded to the free tier limitations.

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Transmit any harmful, offensive, or unlawful content
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Collect or harvest any personally identifiable information without consent
• Use the Service to send unsolicited commercial communications (spam)
• Reverse engineer, decompile, or disassemble any part of the Service
• Sublicense, resell, or commercially exploit the Service without authorization

You retain ownership of all data, content, and information you submit to the Service ("User Content"). By submitting User Content, you grant ADVNCE a non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely to provide and improve the Service.

You represent and warrant that you have all rights necessary to submit your User Content and that it does not violate any third-party rights or applicable laws.

The Service, including its design, code, features, and content (excluding User Content), is owned by ADVNCE and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your data as described in our Privacy Policy.

You acknowledge that you may have access to confidential information about other users, artists, venues, and promoters through the Service. You agree to keep such information confidential and not to disclose it to any third party without the prior written consent of the applicable party.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADVNCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO ADVNCE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless ADVNCE and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your User Content, or your violation of these Terms.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us. Upon account termination, we will delete your data within 30 days, subject to any legal retention obligations.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved by binding arbitration in Los Angeles County, California, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or by posting a notice on the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

These Terms, together with the Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and ADVNCE regarding the Service and supersede any prior agreements.
